Terms of Service

1. Acceptance of Terms

By accessing or using SayShow ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We reserve the right to update these Terms at any time. Continued use after changes constitutes acceptance.

2. Eligibility

You must be at least 13 years old to use the Service. By creating an account, you represent and warrant that you meet this age requirement. We do not knowingly collect data from children under 13. If you are under 18, you must have a parent or guardian's consent.

3. Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to provide accurate and complete information when creating your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. AI-Generated Content

4.1 Ownership

You own the content you generate. Subject to Section 4.2 (Input Content) and Section 4.3 (Third-Party Rights), SayShow assigns to you all rights, title, and interest in the video, image, and audio content generated by our AI models based on your inputs ("Generated Content"). This assignment is conditioned on your compliance with these Terms.

4.2 Your Input Content

You retain ownership of all text prompts, images, videos, audio recordings, and other materials you upload or provide to the Service ("Input Content"). By providing Input Content, you grant SayShow a worldwide, non-exclusive, royalty-free license to use, reproduce, and process your Input Content solely for the purpose of providing the Service to you (i.e., generating your requested content). We do not use your Input Content to train our general AI models without your explicit consent.

4.3 Third-Party Rights and Copyright

CRITICAL — YOU ARE SOLELY RESPONSIBLE FOR YOUR INPUTS.

You represent and warrant that:

Your Input Content does not infringe any third-party intellectual property rights, including copyright, trademark, trade dress, right of publicity, or any other proprietary right.
You hold all necessary rights, licenses, and permissions for any Input Content that incorporates third-party materials.
You will not prompt the Service to generate content that imitates, replicates, or derives from copyrighted works, characters, or trademarks that you do not own or have a license to use (e.g., "Disney-style animation," "Marvel character," "Star Wars scene").

If you generate content that infringes third-party rights, you — not SayShow — bear full legal responsibility. This includes but is not limited to: copyright infringement, trademark dilution, personality rights violations, and defamation.

4.4 AI Model Limitations

AI-generated content may inadvertently resemble existing works or persons. We implement content filters and safety measures, but cannot guarantee that Generated Content will be entirely free of unintended similarities. You are responsible for reviewing Generated Content before publishing, distributing, or commercializing it.

5. Acceptable Use Policy

You agree NOT to use the Service to:

Generate content that is illegal, harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable.
Generate sexually explicit content, child sexual abuse material (CSAM), or any content that sexualizes minors.
Generate content that incites violence, promotes terrorism, or facilitates hate speech.
Generate deepfakes or synthetic media intended to defame, harass, extort, or impersonate real individuals without their explicit consent.
Violate any applicable laws or regulations in your jurisdiction.
Reverse engineer, decompile, or extract the AI models.
Use automated means (bots, scrapers) to access the Service without authorization.

6. User Content and Public Sharing

If you choose to publish or share Generated Content on SayShow's platform (e.g., public feed, trending page), you grant SayShow a worldwide, non-exclusive, royalty-free license to host, display, distribute, and promote that content on our platform. You may delete your content at any time, and this license terminates upon deletion, except for content already shared or re-shared by other users.

7. Payments, Subscriptions, and Refunds

7.1 Subscription Plans

SayShow offers free and paid subscription tiers. Free tier users receive limited features and usage credits. Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law.

7.2 Auto-Renewal

Paid subscriptions automatically renew unless canceled before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation stops future billing but does not refund the current period.

7.3 Price Changes

We reserve the right to change pricing with 30 days' notice. Price changes will not affect your current billing period.

7.4 SayMe Avatar Service

The SayMe AI avatar feature allows you to generate a virtual likeness based on your uploaded photos. Avatar generation is a one-time paid feature (not included in standard subscriptions). You own the generated avatar. You warrant that all photos you upload are of yourself or that you have obtained explicit consent from the person depicted.

8. Intellectual Property of the Platform

SayShow, its name, logo, interface design, proprietary AI models, and all underlying technology are the exclusive property of SayShow and its licensors. These Terms do not grant you any rights to the platform's intellectual property beyond the limited license to use the Service.

9. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND.

To the fullest extent permitted by law, SayShow disclaims all warranties, express or implied, including but not limited to:

Merchantability and fitness for a particular purpose.
That the Service will be uninterrupted, error-free, or secure.
That Generated Content will be free of unintended resemblance to existing works or persons.
That the AI models' outputs are factually accurate, appropriate, or suitable for any specific use.

10. LIMITATION OF LIABILITY

SAYSHOW'S LIABILITY IS STRICTLY LIMITED.

To the maximum extent permitted by law, SayShow and its officers, directors, employees, and affiliates shall NOT be liable for:

Any indirect, incidental, special, consequential, or punitive damages.
Loss of profits, revenue, data, goodwill, or business opportunities.
Any damages arising from your use of or inability to use the Service.
Any claims related to Generated Content, including but not limited to copyright infringement, trademark violations, defamation, or violation of publicity rights.
Any damages resulting from third-party claims arising from your Input Content or Generated Content.

In any event, SayShow's total aggregate liability to you shall not exceed the amount you paid to SayShow in the twelve (12) months preceding the claim, or one hundred US dollars ($100), whichever is greater.

11. INDEMNIFICATION

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS SAYSHOW.

You agree to indemnify, defend, and hold harmless SayShow and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

Your violation of these Terms.
Your Input Content or Generated Content.
Your use or misuse of the Service.
Any claim that your Input Content or Generated Content infringes, misappropriates, or violates a third party's intellectual property rights, privacy rights, or publicity rights.
Any claim by a third party relating to content you created using the Service.

SayShow reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense.

12. Copyright Infringement (DMCA)

SayShow respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe that any content on our platform infringes your copyright, please send a written notice to copyright@sayshow.tv containing:

A physical or electronic signature of the copyright owner.
Identification of the copyrighted work claimed to be infringed.
Identification of the infringing material and its location on the Service.
Your contact information (address, phone, email).
A statement that you have a good-faith belief that the use is not authorized.
A statement under penalty of perjury that the information in your notice is accurate.

Upon receipt of a valid DMCA notice, we will promptly remove or disable access to the allegedly infringing content and notify the user who posted it. Repeat infringers will have their accounts terminated.

13. Termination

You may terminate your account at any time through your account settings. Upon termination, your right to use the Service ceases immediately. We will delete your account data within 30 days, except as required for legal compliance or dispute resolution. We reserve the right to suspend or terminate your account for violation of these Terms, with or without notice.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

15. International Users

The Service is controlled and operated from the United States. If you access the Service from outside the US, you are responsible for compliance with local laws. For users in the European Economic Area (EEA), United Kingdom, or Switzerland, additional rights may apply under GDPR — see our Privacy Policy.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
